HaloYKL Terms of Service

HaloYKL ("we", "us", "our", "the Service") is an AI-powered platform operated by HaloYKL, based in Ontario, Canada. The Service includes Halo Reply (AI-powered conversation assistance) and Halo Growth (AI-powered brand strategy and content generation). We reserve the right to add, modify, or remove features at any time.

You must be at least 13 years old to use HaloYKL. If you are between 13 and 18 years old, you confirm that you have obtained parental or guardian consent. By using the Service you represent that you meet these requirements. We reserve the right to terminate accounts that do not meet eligibility requirements.

You must create an account to use HaloYKL. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at supporthaloykl@gmail.com if you suspect unauthorized access to your account. You agree to provide accurate, current, and complete information when creating your account and to update it as necessary.

HaloYKL uses artificial intelligence technology provided by Anthropic (Claude API) to generate all responses, pitch strategies, content suggestions, and recommendations across all features. By using HaloYKL you acknowledge and agree that:

• All content generated by HaloYKL is produced by artificial intelligence and may be inaccurate, incomplete, biased, or unsuitable for your specific situation
• AI-generated conversation replies, life advice, pitch strategies, and content suggestions are for informational and entertainment purposes only
• HaloYKL does not provide professional medical, legal, financial, psychological, therapeutic, or business advice
• No AI-generated output should be relied upon as a substitute for qualified professional advice
• Results from using AI-generated content, including but not limited to social media growth, income generation, or relationship outcomes, are not guaranteed
• You use all AI-generated content entirely at your own risk
• HaloYKL does not guarantee the accuracy, reliability, completeness, or appropriateness of any AI output for any purpose

Halo Growth generates AI-powered brand positioning, content strategies, and social media content. You acknowledge that:

• Content strategies and social media posts generated by Halo Growth are AI-generated suggestions only
• HaloYKL makes no guarantee that using Halo Growth content will result in follower growth, sales, revenue, business success, or any specific outcome
• You are solely responsible for reviewing all AI-generated content before publishing or using it
• You are responsible for ensuring any content you publish complies with the terms of service of third-party platforms including TikTok, Instagram, Twitter, YouTube, and others
• Generated content may not be unique and similar content may be generated for other users

Halo Invest is an informational and educational tool only. It is not financial, investment, legal, or tax advice, and nothing in Halo Invest is a recommendation to buy, sell, or hold any security. You acknowledge that:

• All prices, quotes, news, and analysis shown in Halo Invest are for informational purposes only and may be delayed, incomplete, or inaccurate.
• Halo Invest does not know your personal financial situation and will never ask about your income, net worth, or how much money you have to invest.
• AI-generated explanations, sentiment indicators, comparisons, earnings translations, sector snapshots, and watchlist digests are educational summaries only, not signals or trading recommendations.
• Halo Invest does not execute trades. Any links to third-party brokerages (Robinhood, Wealthsimple, Yahoo Finance, or others) are neutral references so you can look up the security yourself. HaloYKL does not endorse any specific broker and does not receive compensation for these links.
• You are solely responsible for any investment decisions you make. Investing involves risk, including the possible loss of principal. Past performance does not guarantee future results.
• You should consult a licensed financial advisor before making investment decisions.
• Halo Invest credits are consumed per action (lookup, comparison, earnings translator, sector snapshot, watchlist digest). Free introductory credits are provided one time only. Purchased credits do not expire; subscription credits reset each billing cycle and do not roll over.

All payments are processed through PayPal. By making a purchase you agree to PayPal's terms of service.

Subscriptions: Monthly subscriptions automatically renew until cancelled. You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial subscription periods.

Credits: Halo Growth credits are purchased on a pay-per-use basis. Credits do not expire. Credits are non-refundable once purchased. Credits have no cash value and cannot be transferred to another account.

Pricing: HaloYKL reserves the right to change pricing at any time with 30 days notice to existing subscribers. Price changes do not affect credits already purchased.

Failed Payments: If a payment fails your access to paid features will be suspended until payment is resolved.

When you upload screenshots, text, images, or any other content to HaloYKL ("User Content") you represent and warrant that:

• You have the legal right to share that content
• The content does not violate any third party's privacy, intellectual property, or other rights
• The content does not contain illegal material

You grant HaloYKL a limited, non-exclusive license to process your User Content solely for the purpose of providing the Service. We do not claim ownership of your User Content. We do not use your User Content to train AI models.

HaloYKL including Halo Reply may be used to assist with professional and workplace communications. You acknowledge that:

• You are solely responsible for any communications you send in a professional context using AI-generated suggestions
• HaloYKL is not liable for any professional consequences resulting from the use of AI-generated replies including but not limited to termination of employment, disciplinary action, or damage to professional relationships
• You should review all AI-generated content before sending in any professional context

You agree not to use HaloYKL to:

• Harass, abuse, threaten, or harm any person
• Generate content intended to deceive, defraud, or manipulate others
• Upload illegal content or content that violates third party rights
• Attempt to reverse engineer, copy, or replicate the Service
• Use the Service for any unlawful purpose under applicable law
• Share account access with other individuals
• Circumvent usage limits or attempt to access features without payment
• Generate spam, phishing content, or malicious communications
• Violate the terms of service of any third party platform using content generated by HaloYKL

Violation of these terms may result in immediate account termination without refund.

HaloYKL, its name, logo, design, and all associated technology are the intellectual property of HaloYKL. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without express written permission.

Content you generate using HaloYKL belongs to you subject to the limitations in Section 5 regarding Halo Growth content uniqueness.

HaloYKL respects intellectual property rights and complies with the Digital Millennium Copyright Act. If you believe any content on our platform infringes your copyright, please send a written DMCA notice to supporthaloykl@gmail.com including:

• Identification of the copyrighted work you claim has been infringed
• Identification of the material on our platform you claim is infringing
• Your contact information including name, address, telephone number, and email
• A statement that you have a good faith belief that the use is not authorized by the copyright owner
• A statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

We will respond to valid DMCA notices promptly and remove infringing content where appropriate.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HALOYKL DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HALOYKL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF DATA, OR DAMAGE TO REPUTATION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $50 CAD.

You agree to indemnify, defend, and hold harmless HaloYKL and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any third party rights.

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF HALOYKL SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING INDIVIDUAL ARBITRATION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST HALOYKL.

Before initiating arbitration either party must first send written notice of the dispute to the other party and attempt to resolve it informally for 30 days.

Arbitration shall be conducted in Ontario, Canada under applicable arbitration rules. Each party shall bear their own costs unless the arbitrator determines otherwise.

This arbitration clause does not prevent either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

HaloYKL reserves the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any reason we deem appropriate, with or without notice. Upon termination your right to use the Service ceases immediately. Credits and subscription fees are non-refundable upon termination for Terms violations.

You may terminate your account at any time by contacting supporthaloykl@gmail.com.

Your use of HaloYKL is governed by our Privacy Policy which is incorporated into these Terms by reference. By using the Service you consent to the collection and use of your information as described in the Privacy Policy.

We may update these Terms at any time. When we make material changes we will notify you by email or in-app notification and update the version number and date at the top of this document. Your continued use of the Service after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms you must stop using the Service.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms together with our Privacy Policy constitute the entire agreement between you and HaloYKL regarding the Service and supersede all prior agreements and understandings.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to the arbitration clause above, you consent to the exclusive jurisdiction of the courts of Ontario, Canada.
